1. Acceptance of Terms

Welcome to Rise Estate ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the Rise Estate website located at RiseEstate.com and all related subdomains, mobile applications, and services (collectively, the "Platform").

By accessing or using the Platform, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are accessing the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Rise Estate provides a lead generation platform that connects real estate professionals ("Agents" or "Partners") with potential buyers and sellers ("Leads"). Our services include:

• Lead generation and qualification services
• AI-powered lead verification and scoring
• ISA (Inside Sales Agent) follow-up services
• CRM integration and lead delivery
• Marketing and advertising services
• Analytics and reporting tools

3. Account Registration

To access certain features of the Platform, you may be required to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

4. Communications Consent (TCPA)

You consent to receive:

• Telephone calls (including autodialed and prerecorded calls)
• Text messages (SMS and MMS)
• Emails regarding services, leads, and marketing

Message and data rates may apply. You may opt out at any time by replying "STOP" to any text message or clicking "unsubscribe" in any email. Consent is not a condition of purchase.

5. Lead Services Terms

5.1 Lead Quality

While we strive to provide high-quality, verified leads, we do not guarantee:

• That any lead will result in a transaction
• The accuracy of information provided by leads
• The financial qualification of any lead
• The timeline or motivation of any lead

5.2 Exclusivity

Leads designated as "exclusive" are provided to only one Agent within a specified territory. Rise Estate makes reasonable efforts to prevent duplicate lead distribution but cannot guarantee absolute exclusivity due to leads potentially contacting multiple services.

5.3 Lead Delivery

Leads are delivered through agreed-upon methods (email, CRM integration, SMS, etc.). You are responsible for timely follow-up with all leads received.

6. Payment Terms

• All fees are due as specified in your subscription or service agreement
• Payments are processed through secure third-party payment processors
• Recurring subscriptions will automatically renew unless cancelled
• Prices may change with 30 days' notice
• Refunds are subject to our Refund Policy

7. Intellectual Property

All content on the Platform, including text, graphics, logos, images, software, and other materials, is the property of Rise Estate or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our content without permission
• Use our trademarks without written authorization
• Reverse engineer or attempt to extract source code
• Create derivative works based on our Platform

8. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose
• Violate any applicable laws, including real estate licensing laws
• Harass, abuse, or harm leads or other users
• Submit false or misleading information
• Interfere with the Platform's operation or security
• Use automated systems to access the Platform without permission
• Resell or redistribute leads to third parties
• Share account credentials with unauthorized persons

9. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Platform will be uninterrupted or error-free
• Defects will be corrected
• The Platform is free of viruses or harmful components
• The results from using the Platform will meet your expectations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RISE ESTATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Rise Estate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your interactions with Leads

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York, NY.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Platform ceases immediately
• You remain liable for all amounts due
• Provisions that by their nature should survive will survive

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
